================================================================ SCRIPTLMS SOFTWARE LICENSE AGREEMENT ================================================================ Last updated: September 27, 2026 This Software License Agreement ("Agreement") is between Greg Lundy, doing business as ScriptLMS ("ScriptLMS," "we," "us," or "our"), and the person or organization that downloads, installs, or uses the ScriptLMS software ("you" or "Customer"). BY DOWNLOADING, INSTALLING, OR USING SCRIPTLMS, OR BY CHECKING A BOX OR CLICKING A BUTTON TO ACCEPT THIS AGREEMENT, YOU AGREE TO BE BOUND BY IT. If you are accepting on behalf of an organization, you confirm that you have the authority to bind that organization. If you do not agree, do not download, install, or use the software. ---------------------------------------------------------------- 1. DEFINITIONS ---------------------------------------------------------------- "Software" means the ScriptLMS program, including its program files, updates, demo content, documentation, and help pages. "Your Data" means everything you or your users put into the Software - staff accounts, training modules, videos, images, test results, completion records, settings, email settings, and any other information - and everything the Software creates from it, such as reports, certificates, and backups. "Seat" means one active user account (staff or admin) in the Software. The first admin account is included at no charge. Deactivated accounts do not count as Seats. "License Period" means the period your license is valid, as stated when you purchase it (normally one year from purchase). ---------------------------------------------------------------- 2. THE LICENSE WE GRANT YOU ---------------------------------------------------------------- 2.1 Paid license. Subject to this Agreement and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license, for the License Period, to install the Software on web hosting you control and use it for the internal training of your own organization's staff, up to the number of Seats you have purchased. 2.2 Free trial. You may use the Software free of charge for 30 days from its first use, limited to 15 staff Seats and 1 admin Seat, for evaluation purposes only. The trial is provided "AS IS" with no support obligations. After the trial ends, continued growth features require a paid license (see Section 5). 2.3 One installation. Each license covers one installation of the Software for one organization, unless we agree otherwise in writing. 2.4 White-label option. If you purchase the white-label option, you may display your own organization's name and logo in place of the ScriptLMS name within the Software. All other terms of this Agreement still apply. 2.5 Customization. The Software is provided as program files you can view. You may make changes for your own internal use at your own risk. Modified Software is not covered by any support, and updates may overwrite your changes. You are responsible for any problems your changes cause. ---------------------------------------------------------------- 3. WHAT YOU MAY NOT DO ---------------------------------------------------------------- You may not, and may not allow anyone else to: a) sell, resell, rent, lease, lend, sublicense, distribute, or give the Software (or a license code) to anyone else; b) offer the Software as a hosted service to other organizations, or use it to train people outside your own organization for a fee, unless we agree in writing; c) remove, disable, bypass, or tamper with the licensing, trial, or seat-counting features, or share license codes; d) remove copyright or ownership notices, except as allowed by the white-label option; e) use the Software for anything unlawful, or to store or send content you do not have the right to use; f) use the Software to send unsolicited or bulk email to anyone who is not one of your own users. ---------------------------------------------------------------- 4. OWNERSHIP ---------------------------------------------------------------- 4.1 Our Software. The Software is licensed, not sold. We (and our licensors) own all rights, title, and interest in the Software, including all copyrights and other intellectual property. All rights not expressly granted to you are reserved. 4.2 Your Data. You own Your Data. We do not receive, store, or have access to Your Data - the Software runs entirely on your own web hosting, and license checking is done on your own server without sending Your Data to us. 4.3 Demo content. The demo modules and sample images included with the Software are provided for your evaluation and internal use only. 4.4 Feedback. If you send us suggestions or ideas, we may use them freely without any obligation to you. ---------------------------------------------------------------- 5. FEES, RENEWAL, AND SEATS ---------------------------------------------------------------- 5.1 Fees. Fees are as listed at the time of purchase (currently $500 per year for up to 62 Seats, plus $8 per Seat per year for additional Seats). Prices may change for future purchases and renewals. 5.2 No automatic renewal. Each purchase is a one-time payment for its License Period. We will never charge you again without you choosing to purchase or renew. 5.3 Seats. You are responsible for purchasing enough Seats for your active users. 5.4 If a license ends. If your license ends or is not renewed, the Software's features for adding new modules, editing modules, and adding new staff may be paused. Staff sign-ins, training in progress, reports, certificates, and backups continue to work, and Your Data is not deleted. 5.5 Refunds. All sales are final. Because a free 30-day trial is available to evaluate the Software before purchase, fees are non-refundable except as required by law. 5.6 Taxes. Fees do not include taxes. You are responsible for any applicable taxes other than taxes on our income. ---------------------------------------------------------------- 6. UPDATES AND SUPPORT ---------------------------------------------------------------- 6.1 Updates. We may make updates available from time to time at no extra charge. We are not obligated to release updates, to continue offering updates for any particular length of time, or to keep any particular feature. Installing an update is your choice and your responsibility. 6.2 Support. Any support we provide is by email to contact@scriptlms.com, on a reasonable-effort basis, with no guaranteed response time, unless we agree otherwise in writing. ---------------------------------------------------------------- 7. YOUR RESPONSIBILITIES ---------------------------------------------------------------- The Software runs on web hosting that you choose and control. You are responsible for: a) Your hosting and server - including its security, updates, availability, performance, storage space, and settings, and any costs; b) Backups - keeping your own backups of Your Data, including downloading copies and storing them somewhere other than your server. The Software includes backup tools as a convenience only. Videos are not included in the Software's backups, and you must keep your own copies of them; c) Security of your accounts - choosing strong passwords, changing the starting admin password, controlling who has admin access, and removing or deactivating accounts when people leave; d) The accuracy of Your Data - including staff information, assignments, due dates, and records, and any decisions made using it; e) Your training content - including that it is accurate, current, appropriate for your staff, and that you have the right to use it (see Section 8); f) Email - if you use Email Reminders, you are responsible for the email account you connect, its password, and complying with your email provider's terms and any laws that apply to the emails you send; g) Legal compliance - using the Software in compliance with all laws and regulations that apply to you and your industry, including privacy, employment, and healthcare laws. ---------------------------------------------------------------- 8. TRAINING CONTENT, CE CREDITS, AND COMPLIANCE ---------------------------------------------------------------- 8.1 The Software is a tool for delivering and tracking training that you provide. We do not provide training content (other than demo content), and we do not review, approve, or accredit any content. 8.2 The Software tracks completions and credit totals as you configure them. Whether any training qualifies for continuing education (CE) credit, licensure, certification, or any regulatory requirement depends on the content, its accreditation, and the rules of the applicable licensing body - not on the Software. You are responsible for confirming this. 8.3 Using the Software does not by itself make you compliant with any law, regulation, accreditation standard, or survey or inspection requirement. 8.4 No patient information. The Software is designed for staff training records only. It is not designed to store protected health information (PHI), and you agree not to use it to store patient information. 8.5 Nothing in the Software is medical, legal, or professional advice. ---------------------------------------------------------------- 9. DISCLAIMER OF WARRANTIES ---------------------------------------------------------------- TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT IT WILL WORK WITH YOUR PARTICULAR HOSTING, THAT DATA WILL NOT BE LOST OR CORRUPTED, THAT EMAILS WILL BE DELIVERED, OR THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you. ---------------------------------------------------------------- 10. LIMITATION OF LIABILITY ---------------------------------------------------------------- 10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SCRIPTLMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, RECORDS, PROFITS, REVENUE, BUSINESS, OR GOODWILL, FINES, PENALTIES, OR COSTS OF REPLACEMENT, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 10.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR THE FREE TRIAL, OUR TOTAL LIABILITY IS ZERO. 10.3 You agree that these limits are a reasonable allocation of risk and a basis of the price of the Software. ---------------------------------------------------------------- 11. INDEMNIFICATION ---------------------------------------------------------------- You agree to defend, indemnify, and hold harmless ScriptLMS and its owner(s) from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your use of the Software; Your Data or training content; your hosting or email accounts; your violation of this Agreement; or your violation of any law or the rights of any third party. ---------------------------------------------------------------- 12. TERM AND TERMINATION ---------------------------------------------------------------- 12.1 This Agreement lasts for the License Period (or the trial period), and renews only if you purchase a renewal. 12.2 We may end your license if you materially break this Agreement and do not fix it within fifteen (15) days of our notice. We may end it immediately for a breach of Section 3. 12.3 When this Agreement ends, your right to use the Software's licensed features ends as described in Section 5.4, and Sections 4, 7 through 11, and 13 through 15 continue to apply. You remain the owner of Your Data and may keep your backups. ---------------------------------------------------------------- 13. GOVERNING LAW AND DISPUTES ---------------------------------------------------------------- This Agreement is governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in North Carolina, and both parties consent to their jurisdiction. ---------------------------------------------------------------- 14. CHANGES TO THIS AGREEMENT ---------------------------------------------------------------- We may update this Agreement from time to time, for example when new features are added. The updated version applies to purchases, renewals, and updates made after it is posted at scriptlms.com. The version you accepted continues to apply to your current License Period. ---------------------------------------------------------------- 15. GENERAL ---------------------------------------------------------------- 15.1 Entire agreement. This Agreement is the entire agreement between you and us about the Software and replaces any earlier understandings. 15.2 Severability. If any part of this Agreement is found unenforceable, the rest remains in effect, and the unenforceable part will be applied to the fullest extent allowed. 15.3 No waiver. Our not enforcing a term is not a waiver of it. 15.4 Assignment. You may not transfer this Agreement or your license without our written consent. We may transfer it as part of a sale or reorganization of our business. 15.5 Independent parties. Nothing in this Agreement creates a partnership, employment, or agency relationship. 15.6 Notices. Notices to us must be sent to contact@scriptlms.com. We may send notices to the email address you provided when purchasing. 15.7 Force majeure.
